Polibeli Group Ltd is the Nasdaq-listed PLBL. With about 366.4 million shares outstanding, its equity value is roughly $2.0 billion. Global-goods-trading gross margin improved from 2.3% to 5.4% as higher-margin Italian distribution and a better Indonesian customer mix offset weaker Japan and Indonesia sales. Hong Kong and Europe expanded, reducing reliance on one market. Still, consumer distribution is sensitive to promotions, product demand and regional cycles; 2025 Europe benefited from Black Friday. The June F-1 registered up to 4.47 million new shares if warrants, rights to buy shares at a preset price, are exercised; that would dilute holders. It also registered resale of 30.1 million existing shares, which does not itself dilute but can increase selling pressure.

What could change the storyAI projects could transform growth, but current valuation needs binding contracts, financing, and materially stronger cash economics.

Bull case: the Thailand and Indonesia AI-center evaluations become binding, financed projects, legacy gross margin keeps improving, and annual revenue rises toward roughly $200 million with positive operating cash flow; that would still equal about 10 times sales at today’s approximate market value. Bear case: the MOUs remain preliminary, legacy sales stay uneven, and cash burn continues near recent levels. Then more related-party debt, bank borrowing or equity issuance may be needed. The current valuation leaves little room for only gradual improvement.

Prepaid forward terms extendedAn August amendment extended a merger-linked prepaid share-forward arrangement and kept its maturity mechanics in place longer.

On July 31, filed August 7, Polibeli amended the prepaid share-forward agreement tied to its 2025 business combination. The maturity became the earlier of 24 months after closing or a seller-selected valuation date. The seller may hold up to 3.0 million relevant shares plus 0.1 million committed shares. This does not itself create operating growth; it extends a complex financing arrangement that can affect cash, share supply and capital-allocation analysis.

Indonesia AI project exploredPolibeli added a second preliminary AI data-center evaluation, this time in Indonesia with a smaller initial phase.

On July 1, disclosed July 15, Polibeli entered a non-binding MOU with PT Grosirone Prima Nusantara to evaluate an Indonesian AI data center. The concept could reach about 10 MW, with an initial phase of roughly 2 MW to 5 MW. The parties plan to assess colocation facilities, power, cooling, network connectivity and commercial feasibility. Any project still requires due diligence, financing, approvals and definitive agreements, so no investment or revenue is committed.

Thailand AI center exploredPolibeli began evaluating a Thailand AI computing center that could reach about 100 megawatts.

On June 30, announced July 2, Polibeli signed a non-binding MOU with AUTHAIKAM COMPANY LIMITED to evaluate an AI computing center in Thailand. The contemplated project could have power capacity of up to roughly 100 MW. Work is limited to preliminary steps such as site visits, power and land assessments, information exchange and due diligence. The company had not committed capital or decided to proceed, so the event adds strategic optionality rather than contracted revenue.

2025 results filedAnnual results showed lower revenue and continued losses, alongside heavier operating cash use and going-concern pressure.

On April 24, Polibeli filed its 2025 Form 20-F. Revenue declined 12.6% to $26.4 million, while the net loss narrowed to $5.97 million and gross profit increased. Operating cash outflow reached $6.35 million, year-end cash was $1.80 million, and working capital was negative. Management said these conditions created substantial doubt about continuing as a going concern, although planned related-party and bank financing could alleviate that doubt.
