ADT agrees to $10 per share cash takeover by Thrive Holdings
ADT ($ADT) agreed to be acquired by Thrive Holdings for $10 per share in cash, valuing its equity at approximately $7.6 billion and the business, including debt, at $15.3 billion. The security company’s board unanimously approved the agreement. Thrive plans to combine its engineering resources and long-term capital with ADT’s monitoring services, connected devices and nationwide customer network.
The companies expect completion in the first quarter of 2027, subject to ADT shareholder and U.S. antitrust approvals. Apollo ($APO)-managed funds have provided financing commitments, and financing is not a closing condition. ADT can solicit competing proposals through November 28, with a possible extension for certain bidders. It remains independently operated and publicly listed until closing; the announcement does not mean shareholders have already received payment or that a competing offer will emerge.
