Afya agrees to combine with Yduqs and move the combined listing to Brazil

Afya ($AFYA) signed a binding agreement to combine with Brazilian education group Yduqs. Under the proposed ownership structure, Afya shareholders would hold approximately 69% of the combined company and Yduqs shareholders 31%. Bertelsmann would own around 47.4%. The transaction would bring Afya’s medical-education operations together with Yduqs’ broader higher-education business.

Yduqs would be the surviving listed company, trading on Brazil’s B3 Novo Mercado, while Afya would leave Nasdaq after completion. Closing still requires shareholder, antitrust and other approvals. The ownership percentages describe the intended structure rather than completed transfers. Investors therefore face a pending corporate and listing change, not an already effective delisting or an immediate cash exit from their Afya investment.
