Ashford Hospitality gains $17 million fee waiver and adviser share-purchase commitment
Ashford Hospitality Trust ($AHT)’s adviser, Ashford Inc., irrevocably waived approximately $17 million of advisory fees for November 2026 through April 2027, equivalent to around $2.60 per share. The adviser also committed to quarterly open-market purchases equal to 2.5% of the trust’s outstanding shares, beginning with approximately 162,000 shares. Each purchase commitment has a six-month completion period.
If the adviser falls short, future fees will be credited at 150% of the volume-weighted average value of the missing shares. The arrangement can run for up to three years but may end earlier because of ownership limits or other specified provisions. The trust is also terminating its at-the-market equity program. The fee waiver reduces an expense burden, while the share purchases are adviser purchases from the market—not issuer buybacks or new cash proceeds to the trust.
