Anthropic’s public IPO filing details Amazon and Google’s economic exposure

Anthropic publicly filed for a proposed Nasdaq listing, advancing the process beyond its earlier confidential submission. Its prospectus says Amazon ($AMZN) and Google ($GOOGL) would each hold more than 5% of outstanding capital after the planned pre-IPO preferred-stock and convertible-note conversions. Those holdings are non-voting Class N shares, so their economic exposure should not be confused with voting control.

This is indirect news for Amazon and Alphabet: their investee is pursuing an offering, rather than either company announcing a new investment. Anthropic’s statement leaves the offering’s share count and price range undetermined, and the registration is not yet effective. A future listing could provide a market valuation for the holdings, but the filing establishes neither completed share sales nor realised investment gains for the two technology groups.
