Brink’s proposes UK disposals to address NCR Atleos merger concerns

Brink’s ($BCO) said it will propose selling its NoteMachine/TestLink UK operation after Britain’s competition regulator identified concerns about the proposed $6.6 billion acquisition of NCR Atleos ($NATL). The overlap involves that business and Atleos’ Cardtronics operations. The companies must offer remedies by the regulator’s deadline or face a more detailed investigation; the decision is not a final prohibition of the merger.

Brink’s says the potential disposal was already contemplated in its financial assumptions and leaves its expected $200 million annual cost-synergy target unchanged. Management continues to expect completion early in the first quarter of 2027, with those savings targeted within three years of closing. Prospective buyers have shown preliminary interest, but neither a disposal nor the acquisition has completed. Regulatory acceptance and execution of any remedy remain material conditions.
