Focus Xplore proposes five Canadian gold properties and plans to let White Pine lapse
Focus Xplore announced non-binding, conditional acquisition terms on 7 September 2026.
Proposed portfolio and price
The five early-stage gold properties cover approximately 8,644 hectares in Ontario and Newfoundland and Labrador.
Proposed consideration includes £75,000 cash, another £50,000 upon exploration milestones, and shares representing 15% of enlarged capital: 10% on completion and 5% upon milestones. Share lock-ins would apply.
Conditions and strategy
Completion requires due diligence, definitive agreements, board approval, regulatory compliance and a fundraising. The terms are therefore not a completed acquisition or fully financed programme.
Seller-linked geologist Jack Dann is expected to become chief geological officer if the deal completes.
Separately, the board plans to let the White Pine uranium property lapse, citing its spending requirement and the refocus toward gold. Work programmes are being developed for the remaining lithium and rare-earth properties.
What to watch
The next evidence is binding documentation, financing terms and an exploration plan. The proposed properties are greenfield opportunities; the transaction does not establish a mineral resource or near-term production.
