Frasers passes 50% ownership of Hugo Boss and expects consolidation

Frasers Group ($FRAS) has purchased 198,666 Hugo Boss ($BOSS) shares for €7.63 million, taking its shareholding to 34,468,065 shares, or 50.08% of the German fashion company. The purchase used existing cash. Frasers expects Hugo Boss to become a subsidiary and its earnings, assets and liabilities to be consolidated into the group's accounts, materially expanding the reported business.

The majority holding comprises actual shares. Separately, Frasers has sold put options covering up to another 21.87% of Hugo Boss, which could require approximately €501.1 million if counterparties exercise them in full. This is a potential cash commitment beyond the latest purchase. Hugo Boss remains publicly listed, with 49.92% held by other investors; its German board structure may limit Frasers' influence over daily operations.
