Fermi founder group seeks independent strategic review

Fermi’s ($FRMI) founder shareholder group, which says it controls approximately 22% of the company, disclosed a formal proposal asking the board to retain an independent investment bank to review strategic alternatives. The requested review would consider options including a sale or majority recapitalization alongside the company’s standalone plan.

The group also wants advisory votes on governance standards and an increase in the general ownership limit from 2.5% to 9.8%, arguing that the current limit restricts institutional investment. These are shareholder requests, not decisions already adopted by Fermi’s board. The statement was issued by the founder group, so its criticisms of execution and valuation should be read as that investor’s position rather than the company’s own assessment.
