Meta launches $35 billion equity offerings and outlines a possible $60 billion program

Meta ($META) launched two separate public offerings: approximately $22.5 billion of Class A common stock through forward sale agreements and about $12.5 billion of depositary shares representing mandatory convertible preferred stock. The company intends to use eventual proceeds for general corporate purposes, including its AI infrastructure expansion. These are offering launches; final pricing and completed fundraising were not announced.

Meta also outlined a possible $60 billion program to sell nonvoting Class C shares into the market, expected no earlier than the first quarter of 2027. It has not entered an agreement for that program and may never launch it. The combined $95 billion represents potential financing. Under the common-stock forward structure, Meta expects no initial cash proceeds; cash would depend on subsequent settlement.
