MISTRAS agrees to an $866 million take-private transaction

MISTRAS ($MG) agreed to be acquired by affiliates of H.I.G. Capital for $20.35 per share in cash. The transaction has an enterprise value of approximately $866 million, including debt, and was unanimously approved by the board. Shareholders representing roughly 31% of voting power have committed to support the deal.

The agreement includes a 40-day period during which MISTRAS can solicit alternative proposals. Completion is expected in late 2026 or early 2027, subject to shareholder approval and other closing requirements. MISTRAS would leave the public market after closing. The enterprise value should not be confused with the cash amount payable solely to equity holders, and the signed agreement does not yet establish that ownership has transferred.
