Mitie’s agreed OCS takeover clears the UK national-security condition
Mitie ($MTO) said the UK national-security condition for its recommended cash takeover by OCS Group International has been satisfied. The Investment Security Unit notified OCS that no further action would be taken under the National Security and Investment Act. The announcement follows the separately disclosed satisfaction of the European merger-control condition, reducing the number of regulatory steps outstanding.
The transaction remains pending and cannot yet be treated as completed. Approval from the UK Competition and Markets Authority is still required, alongside other scheme conditions and court sanction. Mitie continues to expect the acquisition to become effective in the first quarter of 2027. For shareholders, the new clearance advances the agreed transaction, but the remaining approvals and implementation process continue to determine whether and when the cash takeover closes.
