RedCloud repays convertible notes with a shareholder loan, removing their dilution risk
RedCloud ($RCT) said it fully repaid the senior convertible notes issued in February 2026, using proceeds from a shareholder loan that does not convert into shares. The notes have been extinguished, leaving no convertible notes outstanding. The company also intends to deregister unsold ordinary shares covered by the associated registration statement, removing the remaining resale registration linked to those instruments.
Replacing convertible borrowing changes the company’s financing structure by eliminating potential share issuance under those notes. It does not make RedCloud debt-free: the repayment was funded with another loan. The announcement did not quantify the repayment amount or disclose detailed terms of the shareholder financing. Management also said it was implementing operating-cost reductions, but supplied no savings target or timetable.
