Somero refreshes its board and agrees shareholder standstill
Somero ($SOM) announced a board refresh alongside an agreement with a shareholder group representing approximately 44% of its issued capital. James Field joins as an independent non-executive director, replacing Larry Horsch. James Vanasek joins the board as a non-executive director, succeeding Howard Hohmann, who remains involved as chief commercial officer.
The shareholder agreement includes restrictions on proxy campaigns, director nominations and certain litigation until a special meeting or the specified January deadline. The group also supports proposed constitutional changes involving staggered two-year director elections, which still require shareholder approval. This is a governance settlement and board transition, not a sale of the company or a new earnings forecast. The group’s 44% holding should not be confused with unanimous shareholder support.
