SpaceX specifies Musk approval requirement for potential Tesla combination
SpaceX ($SPCX) disclosed that its special committee had not reached a decision on a possible Tesla ($TSLA) combination. Any transaction would require approval from the committee, the board and controlling shareholder Elon Musk, who has recused himself from the review because of conflicts. No agreed terms or completed transaction were announced.
Separately, Reuters reported that Musk's public endorsement had unsettled some participants, who feared shareholder scrutiny could delay discussions. That account was attributed to a person familiar with the talks, rather than a formal company determination. For SpaceX, the filing provides new information about the approval process. Tesla's exposure to this particular disclosure is indirect, as the prospective counterparty; the negotiations remain uncertain.
