Schneider Electric launches €1.2 billion offer for Shelly

Schneider Electric ($SU-EURONEXT) announced a voluntary cash takeover offer for Shelly Group at €70 per share, valuing the connected-device specialist at approximately €1.2 billion. Founders representing about 57% of Shelly’s shares support the proposed transaction, subject to the agreed conditions. The acquisition would extend Schneider’s reach in smart-home and small-commercial energy management through Shelly’s connected controls and Internet of Things products.

The offer remains subject to regulatory clearances and a 95% acceptance threshold. Schneider targets completion in the first quarter of 2027 and intends to pursue a squeeze-out and delisting if the necessary requirements are met. Founder support substantially strengthens the proposal, but the announcement does not mean all shares have been acquired or the transaction has closed.
