Sunrise shareholders approve share issuance for Southern Realty merger
Sunrise Realty Trust ($SUNS) shareholders approved the issuance of approximately 8.46 million common shares, subject to adjustments, for its proposed merger with Southern Realty Trust. About 91.6% of votes cast supported the proposal, with 59.5% of outstanding Sunrise shares represented. Southern Realty shareholders also approved the transaction, advancing the planned combination of the two commercial real estate lenders.
Closing is expected on November 5, 2026, provided the remaining customary conditions are satisfied. Southern Realty would merge into a wholly owned Sunrise subsidiary, while Sunrise would retain its Nasdaq listing and SUNS ticker. Management expects the larger lending platform to improve operating efficiency and access to capital, but has not quantified those benefits in this announcement. Sunrise also declared a $0.09 per-share prorated dividend covering the period before the anticipated closing.
