Tribal satisfies the final sale condition and targets November completion
Tribal ($TRB) said the national-security condition for the sale of its operating businesses has been satisfied, following shareholder approval. All conditions to the proposed transaction have now been met, and the company expects completion during November 2026. The announcement removes the remaining stated approval condition, although ownership has not yet transferred and the sale is not being described as completed.
Previously agreed terms provide approximately £231.2 million in cash consideration from Thames Bidco, an acquisition vehicle controlled by Main Capital Partners. After completion, Tribal intends to move quickly toward cancellation of its listing and return net cash proceeds through a solvent members’ voluntary liquidation. Those later steps and distributions remain prospective; the company has not announced a completed liquidation or a cash-payment date.
