Aperture agrees $150 million combination with Atlantic HPC
Aperture ($APUR) AC signed a definitive agreement to combine with Atlantic HPC, valuing the private infrastructure company at $150 million before new capital. Consideration consists of 15 million shares valued at $10 each, with up to six million additional shares contingent on operating and share-price milestones. Completion is targeted for the first quarter of 2027.
Atlantic operates bitcoin-mining infrastructure and plans to expand into high-performance computing. Its stated 121-megawatt development pipeline spans six sites, but only part is operational; the pipeline should not be described as installed AI capacity. The company reported unaudited fiscal-year revenue of $28.6 million and EBITDA of $4.4 million. The merger remains conditional on shareholder and other approvals, and the eventual funding available can be affected by redemptions.
