Salesforce agrees cash takeover of Braze at $5.66 billion enterprise value

Salesforce ($CRM) has signed a definitive agreement to buy Braze ($BRZE) for $47.50 in cash per Class A share, valuing the transaction at approximately $5.66 billion on an enterprise-value basis. Braze provides customer-engagement software to about 2,770 customers, using real-time information to personalize communications across mobile applications, email, websites and text messages. Both companies are parties to the proposed transaction.

Salesforce plans to combine those capabilities with Marketing Cloud, Data 360 and Agentforce, extending its tools for coordinating marketing and customer interactions. The companies expect completion during Salesforce’s fiscal 2028, subject to Braze shareholder approval, regulatory clearance and other conditions. The agreement has therefore not closed. Salesforce left its fiscal 2027 guidance unchanged and did not provide a new fiscal 2028 forecast or quantify a near-term earnings contribution from Braze.
