Permanent TSB: court-sanction hearing set for the proposed BAWAG acquisition
Permanent TSB updated the timetable for its proposed acquisition by BAWAG on 7 September 2026.
Dates and outstanding conditions
The Irish High Court sanction hearing is scheduled for 11am on 27 October 2026, with a case-management hearing on 12 October. The transaction was announced on 14 April and received the required shareholder approvals on 30 July.
Court sanction and regulatory approval remain outstanding. The October hearing date is therefore a procedural milestone, rather than a confirmed completion date.
Why shareholders should follow the distinction
Shareholder approval, regulatory clearance, court sanction and effectiveness are separate stages in a scheme transaction. Progress through one stage does not guarantee the remaining conditions will be satisfied on the expected timetable.
Today's announcement does not introduce new consideration terms or confirm that acquisition proceeds are payable.
The next material updates should address regulatory clearance, the court's decision and the scheme's effective date. Those will determine when the agreed acquisition can move from an approved proposal to a completed transaction.
